Terms of Service

These Terms of Service ("Terms") govern access to and use of the Sottly application and related services (the "Service"), operated and sold by CERNO LABS, obrt za marketing i računalno programiranje, vl. Marko Filipović, Donjozelinska ulica 16, 10380 Donja Zelina, Croatia (OIB: 22778960778, MBS: 99286572) ("Sottly", "we", "us"). By creating an account or using the Service you agree to these Terms on behalf of the company you represent ("Customer").
1. The Service
Sottly is an AI copilot for in-person meetings. Meeting participants join a meeting via their phone's browser and their microphone audio is streamed, transcribed per speaker, and analyzed to provide the meeting host with a live transcript, real-time suggestions, and post-meeting analysis.
2. Accounts and seats
- The Service is sold business-to-business on a per-seat basis. A seat is one named user who can host meetings.
- The subscription owner (admin) may invite colleagues up to the number of purchased seats. Seats are personal and may not be shared between people.
- Meeting guests who join via link or QR code do not need an account, are free of charge, and do not count as seats.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3. Fees and payment
- Pricing is published at sottly.ai and charged per seat, monthly or annually in advance. Payment is processed by Stripe; invoices are issued to the Customer's company.
- Subscriptions renew automatically until cancelled. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law.
- Prices exclude VAT and applicable taxes unless stated otherwise.
4. Customer responsibilities — meeting recordings
The Customer and its hosts act as the data controller of meeting content. Hosts must ensure a lawful basis for recording and transcribing every meeting, including informing all participants and obtaining any consent required by applicable law before or at the start of a meeting. Sottly displays a consent notice to guests at join time and logs their consent, but the ultimate legal responsibility for lawful recording rests with the Customer.
5. Acceptable use
- No recording of persons without the notice/consent required by law.
- No unlawful, infringing, or abusive content or use.
- No attempts to reverse engineer, probe, or disrupt the Service or to access data of other customers.
6. AI output disclaimer
Transcripts and AI suggestions are generated automatically and may contain errors. They are provided for informational purposes only and do not constitute professional advice. The Customer is responsible for verifying AI output before relying on it.
7. Intellectual property
Sottly retains all rights to the Service. The Customer retains all rights to meeting audio, transcripts, and analyses generated from its meetings ("Customer Data"). We process Customer Data only to provide the Service, as described in the Privacy Policy and Data Processing Addendum.
8. Availability and support
We aim for high availability but the Service is provided "as is" without an uptime guarantee unless agreed separately in writing. Support is provided via support@sottly.ai.
9. Liability
To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees paid by the Customer in the twelve (12) months preceding the claim. We are not liable for indirect or consequential damages, loss of profits, or loss of data.
10. Termination
Either party may terminate at the end of a billing period. We may suspend or terminate access for material breach of these Terms. Upon termination we delete Customer Data in accordance with the Data Processing Addendum.
11. Changes
We may update these Terms with reasonable prior notice (e.g. by email or in-app). Continued use after the effective date constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the Republic of Croatia. Disputes are subject to the exclusive jurisdiction of the competent courts in Zagreb, Croatia.
